Independent sales partners
The partner agreement
You are an independent contractor selling Kellstar's work for a share of what closes. This is the whole arrangement, written plainly. Read it before you apply, not after your first deal.
The short version
- You are paid per close, never per meeting. A booked call earns nothing.
- 10% to 20% on services, rising with the term the client commits to. Agency runs 5% to 10% on far bigger numbers.
- Commission is calculated on what the client actually paid, after any discount.
- Paid 30 days after the client's money clears, on the 15th of the month, once you are owed $50 or more.
- You are a contractor, not an employee. Your own hours, your own taxes, no benefits.
- If the client refunds or charges back, the commission goes with it.
What you are
You are an independent contractor. Not an employee, not an agent, and not a partner in the legal sense of that word. Nothing in this agreement creates employment, a partnership, or a joint venture.
In practice that means:
- You decide your own hours, methods and territory.
- You use your own equipment and pay your own costs.
- There is no salary, no minimum, no guaranteed income, and no benefits.
- You are free to work for anyone else, including in the same industry, subject to the confidentiality and non-solicitation sections below.
- Nobody at Kellstar directs how you work. What is agreed is the outcome and what it pays.
Taxes are yours. Kellstar does not withhold tax, national insurance or anything else from a commission. You are responsible for declaring and paying whatever your jurisdiction requires on what you earn. If you are in the US and earn over the reporting threshold in a year, you will be asked for a W-9 and issued a 1099.
What you actually do
You find businesses that need what Kellstar sells, introduce them, and work the opportunity through to a signed deal. How you find them is up to you.
You log the opportunity in your partner dashboard so it can be attributed to you. An unlogged deal is a deal nobody can prove was yours.
What you can't do
- Quote a price that isn't on the rate card. No discounts, no bundles, no "I can probably get you" — pricing is Kellstar's.
- Sign anything, or commit Kellstar to anything. You have no authority to enter contracts, agree deadlines, or accept terms on Kellstar's behalf.
- Speak for Kellstar beyond what is published on this site.
- Contact a business as though you are Kellstar staff. Say you are a partner. It is true and it is fine.
The honesty rule, which matters more than any other clause here. You must not promise search rankings, traffic figures, revenue, lead volume, or citations in AI answers. Kellstar does not promise those, because nobody can, and a partner who promises them on our behalf creates a client we then have to disappoint.
You must not invent case studies, results, client names, review counts or testimonials. Not as a shortcut, not as an illustration. A commission earned on an invented claim will not be paid, and the arrangement ends there.
What you get paid
The full rate card is on the partners page and it forms part of this agreement. The structure:
| Term the client commits to | Services | Agency pipeline |
|---|---|---|
| Month to month | 10% | 5% |
| 3 months, prepaid | 12% | 6% |
| 6 months, prepaid | 15% | 8% |
| 12 months, prepaid | 20% | 10% |
Agency percentages are lower and agency cheques are far larger, because the engagements are an order of magnitude bigger. A prepaid agency year is the single biggest payout available here.
Websites, consultations and marketplace hardware are one-off work and pay a flat amount or a small percentage per sale, as listed on the rate card.
Calculated on what was actually collected
Commission is a share of the money that reached Kellstar, after the client's prepay discount and after any points they redeemed. Never the headline price. A twelve-month engagement listed at $8,500 a month that the client prepaid at a discount pays commission on the discounted figure, because that is the figure that arrived.
The accelerator
Close 3 deals on a 3-month term or longer in a quarter, and every term deal after it that quarter earns 3 points more. It applies to terms of 3 months, 6 months, 12 months and resets each quarter.
When you get paid
- The client pays. Nothing happens until the money has actually cleared — not when they sign, not when they promise.
- 30 days pass. This is the hold, and it exists because a refund or chargeback inside the first month is the most common way a closed deal stops being a closed deal.
- The commission becomes payable and shows that way on your dashboard.
- It is paid on the 15th of the month, provided your payable balance is at least $50. Below that it rolls to the next run rather than being lost.
Payment goes wherever you have set in your dashboard — PayPal, Wise, bank transfer, or crypto including Monero. Any transfer fee is yours unless it is one Kellstar chose to incur.
Nothing is paid for a meeting, a booked call, a lead or a proposal. Only for money that arrived. This is stated plainly because some programmes pay per meeting and this one does not — we would rather say so up front than have you find out in month two.
Ongoing deals
On a month-to-month service, you earn on the first 12 months the client pays for, and the commission arrives as they do. Prepaid terms are collected in one payment, so the commission is one payment too.
Whose deal it is
A deal is yours if it was logged by you, through your code or link, before Kellstar had any other contact with that business.
- Attribution lasts 12 months from the day you log it. If they buy inside that window, it is yours.
- Where two partners have logged the same business, it belongs to whoever logged it first.
- A business already in Kellstar's pipeline, already a client, or already in conversation is not available to be claimed. You will be told promptly if that is the case.
- Disputes are settled from the dashboard's timestamps. Those records are the evidence, which is why logging matters.
The client is Kellstar's client. You introduced them and you are paid for that. The relationship, the contract, the delivery and the account belong to Kellstar.
What voids a commission
A commission is not earned, or is reversed if already paid, where:
- The client refunds or charges back. The commission goes with the money.
- The deal was your own business, or one you control, or a person related to you buying with your code. Self-referral is not a sale.
- The lead was fabricated — a fake company, a fake contact, or a business that did not agree to be approached.
- It was won on a claim Kellstar does not make — see the honesty rule above.
- The client was already ours at the time it was logged.
- The sale was made through spam, scraped lists used unlawfully, or any method that breaches anti-spam or data protection law in the client's jurisdiction.
Clawback. Where a commission has already been paid and is subsequently voided, the amount is deducted from your next payout. If no further payout is due within 90 days, it becomes repayable on request. You will be told what happened and why before anything is deducted.
Confidentiality and conduct
In the course of this you will learn things about Kellstar's clients, pricing, margins and pipeline. Keep them to yourself, during this arrangement and after it ends.
- Do not share client names, contact details or commercial terms with anyone outside Kellstar.
- Do not use anything you learn here to compete with Kellstar for a business you learned about here.
- Handle any personal data you collect lawfully — that means consent where your jurisdiction requires it, and it means not keeping data you no longer need.
- Do not represent Kellstar in a way that would embarrass a business you are asking to trust it.
Non-solicitation
For 12 months after this arrangement ends, do not approach a Kellstar client you were introduced to through it, on behalf of a competing provider, for services of the kind Kellstar supplied them. This does not stop you working in the industry, or approaching businesses you knew independently.
Ending it
Either side can end this at any time, in writing, for any reason or none. No notice period.
Commissions on deals already closed survive the ending. If the money cleared before this ended, you are paid on the normal schedule, including the hold and the payout run. Ending the arrangement is not a way to avoid paying you.
Deals logged but not yet closed when it ends do not pay out, because the work of closing them will be done by somebody else.
Kellstar may end it immediately, without further payment, where the honesty rule has been breached or a commission was claimed fraudulently.
Changes to the rates
The rate card can change. When it does:
- Deals already closed are paid at the rate in force when they closed. A rate cut never reaches back.
- Deals logged but not yet closed are paid at the new rate, and you will be told before it applies.
- Changes are announced on the partners page with a date.
Liability
Kellstar's liability under this agreement is limited to commissions properly earned and unpaid. There is no liability for lost opportunity, lost time, or expenses you chose to incur pursuing a deal.

Accepting it
Applying as a partner and logging a deal is acceptance of this agreement as it stands on that date. Keep a copy — the version number and date are at the top of this page.
